This Partner Agreement ("Agreement") is between you (the "Partner") and Ionel Viorel trading as Addlify, a sole trader registered in the United Kingdom, trading address Droitwich WR9 9EZ ("Addlify", "we", "us"). It governs your participation in the Addlify Partner Program (the "Program") through which you promote Addlify's Excel and Word add-ins (the "Products") in exchange for a commission.
If you also use Addlify's Products as a customer, your customer relationship is governed by the main Terms & Conditions, EULA, Privacy Policy and Refund Policy; this Agreement applies only to your Partner activity.
To become and remain an Addlify Partner you must:
#ad, #sponsored, "Partener", "Afiliat" or equivalent.We may reject any application or terminate any Partner at our sole discretion, with or without reason. Termination does not affect commission already earned and not clawed back (see §6 below).
You apply by submitting the form at /partners/apply.html. We review applications within five (5) working days. We may reject without giving reasons. Approved Partners receive a welcome email containing the dashboard URL, a temporary password and their unique partner code. The Agreement becomes effective upon your first successful login.
We may, in our sole discretion, onboard Partners directly without an application (for example after personal outreach) — those Partners are still bound by this Agreement.
Approved Partners earn 40% of each successful payment made by a customer they referred (the "Customer"), for 12 months / 365 days starting from the Customer's first paid invoice. After 365 days the conversion expires automatically and no further commission accrues, even if the Customer remains an active subscriber.
Commission percentages may be set individually per Partner (for example for performance-based uplifts or for strategic partnerships). The rate published on the public landing page applies to new approvals unless we agree otherwise in writing.
Commission is calculated on the net payment Addlify receives, defined as gross invoice amount minus:
Commission applies to both the subscription itself and to one-time add-ons (e-Factura credits, Cabinet seats) purchased by the Customer during the 365-day attribution window. Free trials, promotional periods at £0, and account credits do not generate commission.
You cannot earn commission on your own purchases, those of your immediate family (spouse, parents, children, siblings) or those of an entity you control (directly or indirectly). We will refuse or claw back such commission and may terminate your account.
Cashback websites, paid-to-click platforms, coupon-stacking schemes, browser extensions that auto-inject affiliate codes, and traffic-generation services are not permitted without our prior written approval.
Attribution uses a cookie named addlify_partner that is set only after the visitor explicitly accepts the consent banner on addlify.uk. Cookie lifetime: 90 days from the accept moment. Without consent, no cookie is set, no attribution occurs and no commission is owed for that visitor — even if they later purchase via a different device.
The attribution is locked into the Customer's account when the first successful payment is received (via Stripe Checkout session metadata). The Partner who held the cookie at that moment receives credit for all subsequent commissions in the 365-day window. Last-click attribution applies: if the visitor accepted a cookie for another Partner more recently, that Partner gets credit.
You must not modify, simulate, replay, intercept or otherwise tamper with the attribution mechanism. This includes cookie-stuffing, hidden iframes that load the partner URL, redirect chains designed to overwrite a competitor's cookie, or automated scripts. We monitor for these patterns; detected manipulation leads to forfeiture of all unpaid commission and termination.
Commissions are aggregated quarterly at the end of March, June, September and December. The minimum payout is £40. Balances below the minimum roll over to the next quarter automatically.
Each commission goes through a 30-day hold period from the Customer's payment date. During this period the commission has status pending and is not eligible for payout. After 30 days, if the underlying payment has not been refunded or charged back, the commission is automatically promoted to approved and becomes eligible for the next quarterly payout. We may extend the hold period for individual transactions where additional fraud review is needed, with notice to you.
You choose your preferred method in the partner dashboard — bank transfer (IBAN), PayPal, Revolut or "other". You are responsible for the accuracy of your payout details. Payments sent to incorrect or out-of-date details are not refundable by Addlify; we will, however, cooperate in reasonable recovery attempts.
If a Customer payment is refunded, charged back or reversed for any reason after a commission has been issued, the corresponding commission is clawed back from your next payout. If no positive balance is available, the clawback creates a negative balance offset against future commissions, or — if you have no further activity within 90 days — we may invoice you for the amount due.
Once your cumulative approved + paid commissions cross £600, we will email you and your dashboard will display a request to upload a current government-issued photo ID (passport, driving licence, national ID or residence permit). At this stage payouts are not blocked — but reviewing earlier avoids interruption later.
Once your cumulative commissions cross £8000, payouts are placed on hold until our compliance team verifies the ID document you uploaded. Verified Partners are not held above this threshold. If you have not yet uploaded a document, you can do so at any time from the dashboard.
Our review confirms (a) the document is current and not visibly tampered with, (b) the photo and name are legible and (c) the name on the document matches the name on your partner account. We do not run automated facial recognition. The review is typically completed within three (3) working days.
ID documents are stored on encrypted server-side storage outside the public web root. They are accessed only by authorised Addlify administrators via authenticated session, and only for verification purposes. Documents are retained for the duration of the Partner relationship plus six (6) years thereafter (UK tax and AML retention requirement) and then deleted. You can request access to or deletion of your data per our Privacy Policy, subject to legal retention obligations.
If we cannot verify a document, we will email you the reason and you can re-upload from the dashboard. You may re-upload as many times as needed. We may decline an account where we cannot reasonably verify the Partner's identity; in that case payouts already earned and not held due to fraud remain payable upon receipt of acceptable documentation.
Commissions are paid gross. You are solely responsible for declaring your commission income to the relevant tax authority and paying any income tax, social contributions, VAT or other levies that apply in your jurisdiction. Addlify does not withhold tax and does not issue tax invoices on your behalf.
You must provide accurate tax details in the partner dashboard before receiving your first payout, including:
If you are a UK or EU VAT-registered business, the commission is treated as a reverse-charge B2B service per Article 196 of Directive 2006/112/EC and section 7A of the UK Value Added Tax Act 1994: we will not charge VAT and you account for it locally. If you are an individual or non-VAT-registered, no VAT is applied.
If your tax authority later determines that withholding or other deductions were required, you indemnify Addlify against the resulting cost, interest and penalties.
We grant you a non-exclusive, non-transferable, revocable licence to use the marks "Addlify", "Addlify Finance", "Addlify Medic", "Addlify Legal", "Addlify GDPR", our logo and our official marketing assets (screenshots, product images, hero copy) solely for the purpose of promoting the Products via your channels.
Microsoft, Excel, Word and Office are trademarks of Microsoft Corporation. Addlify is independent and not affiliated with, endorsed by or sponsored by Microsoft. Your promotional content must reflect this where relevant.
You may receive non-public information about Addlify — pricing roadmaps, unreleased product features, partner performance benchmarks, internal documentation. You must keep this information confidential and not disclose it to third parties or use it for any purpose other than this Agreement, for two (2) years from receipt. This restriction does not apply to information that becomes public through no fault of yours, or that you can demonstrate you knew independently.
Addlify processes your application data and ongoing partner data per our Privacy Policy. The lawful bases are: contract performance (Article 6(1)(b) GDPR), legitimate interests in fraud prevention and program integrity (Article 6(1)(f) GDPR), legal obligation for HMRC and AML record retention (Article 6(1)(c) GDPR). We are registered with the UK Information Commissioner's Office under registration ZC141977.
Your personal data (full name, email, ID document) is retained for the duration of the partnership plus six (6) years thereafter. Click and conversion tracking data is retained for thirty-six (36) months. You can request access, rectification, restriction or deletion by emailing privacy@addlify.uk, subject to legal retention obligations.
We may amend the commission rate, payout minimum, attribution window, cookie window, KYC thresholds and any other Program term for new conversions on a forward-looking basis with at least 30 days' notice sent by email and posted in the partner dashboard. Conversions already attributed at the time of the change continue to be governed by the terms in force at the time of attribution.
We may make non-material changes (typographical corrections, clarifications, contact details) without notice. The "Last updated" date at the top of this page always reflects the most recent change.
We may suspend your account at any time if we reasonably suspect breach of this Agreement, fraud, abuse of the attribution mechanism, sanctions exposure, or low-quality referrals that harm our reputation. We will email you to explain the reason and any remediation steps.
We may terminate this Agreement immediately for material breach (including the items listed in §9.2), fraud, repeated low-quality referrals, sanctions / AML hits, or applicable-law breaches. On termination for fraud or sanctions, all unpaid commission is forfeited.
Either party may terminate this Agreement for any reason with 30 days' notice by email. On termination for convenience: (a) commission earned in the attribution window before the termination date and not clawed back remains payable at the next quarterly payout; (b) tracking is disabled and no new conversions accrue; (c) accrued conversions in their 12-month window continue to generate commission unless the termination is for cause under §13.2.
Sections 6 (clawback), 7 (KYC record retention), 8 (tax indemnity), 9 (brand limitations), 10 (confidentiality), 11 (data protection) and 14 (governing law) survive termination.
Nothing in this Agreement limits liability for: death or personal injury caused by our negligence; fraud; or any liability that cannot be limited by law (including consumer statutory rights where you act as a consumer outside your trade or profession). Otherwise:
This Agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that Partners resident in the European Union may also bring proceedings in the courts of their habitual residence per Regulation (EU) 1215/2012 (Brussels I bis), where mandatory rules apply.
Before any litigation we encourage you to email partners@addlify.uk with a written description of the issue; we acknowledge complaints within 5 working days and aim to resolve within 30 days. EU consumers may use national alternative dispute resolution bodies (e.g. SAL / ANPC in Romania).
Entire agreement. This Agreement, together with §18 of the main Terms & Conditions, the Privacy Policy and the Cookie Policy, constitutes the entire agreement on the Program. Where this Agreement and §18 conflict, this Agreement prevails.
Severability. Invalid provisions are severed; the rest of the Agreement remains in force.
Assignment. You may not assign this Agreement without our written consent; we may assign to a successor or affiliate upon notice.
Force majeure. Neither party is liable for failure to perform due to events beyond reasonable control (acts of God, war, pandemic, infrastructure outages).
Third-party rights. No third party has rights under the Contracts (Rights of Third Parties) Act 1999.
Language. The English version of this Agreement is the authoritative version. A Romanian translation is provided at /partners/ro/terms.html for convenience.
